DreamCoder End User Licence Agreement
Version: 1.1
Effective date: 2026-10-11
1. About this agreement
This End User Licence Agreement (“EULA”) is between Polyhedron Investment Limited, incorporated in England & Wales, with company number 13208993 and registered office at Apollo House, Hallam Way, Whitehills Business Park, Blackpool, FY4 5FS (“we”, “us” or “our”), and the individual or organisation accepting it (“you”).
This EULA governs the self-hosted DreamCoder software and accompanying documentation supplied by us (“DreamCoder”).
By selecting the acceptance option presented with this EULA, you agree to its terms. If you accept on behalf of an organisation, you confirm that you have authority to bind that organisation.
The applicable Licence Schedule, identified by version or date and provided before acceptance, forms part of this agreement. An Order is an order, licence confirmation or other commercial agreement issued or expressly accepted by us that identifies a paid or separately agreed entitlement.
An Order takes precedence over the Licence Schedule and this EULA only to the extent that it expressly varies them. Otherwise, the Licence Schedule takes precedence over this EULA concerning the commercial details it specifies.
A Consumer is an individual acting wholly or mainly outside their trade, business, craft or profession. A Business Customer is a customer who is not a Consumer. These definitions do not remove protections that mandatory applicable law gives you.
Please pay particular attention to clause 6, which sets out your responsibilities for actions and outputs, and clause 10, which excludes or limits our liability.
2. Private Use, Business Use and Seats
Private Use means use by an individual solely for personal, non-commercial purposes. It does not include use for an employer, client or other organisation.
Business Use means use for commercial, professional or organisational purposes, including internal operations and work for clients. It includes use by sole traders, companies, partnerships, charities and public bodies.
A Seat means one individual’s DreamCoder account. A Seat covers that individual’s use of up to the number of Instances per Seat stated in the applicable Licence Schedule. A Seat must not be shared between individuals. Using more Instances than a Seat covers requires an Order that provides for it.
An Instance is a separately deployed copy of DreamCoder capable of operating as an independent installation. Each separate production, development, testing or staging installation counts as an Instance.
An Instance counts towards the Instances per Seat of each individual who uses it while it remains deployed for use, even if temporarily stopped or not being accessed. An uninstalled download or an inactive backup that must be restored before use does not count.
Processes and components that collectively operate a single installation do not create additional Instances merely because the installation uses multiple processes or components. Each individual who uses an Instance for Business Use needs their own Seat, including where several individuals use the same Instance.
Your Group comprises you and any entities that directly or indirectly control you, are controlled by you, or are under common control with you. Control means ownership of more than half the voting rights or the power to direct an entity’s management.
For free Business Use eligibility, Seats are counted across your Group worldwide, including the Seats of employees and contractors using DreamCoder on its behalf, whoever holds the account and whatever equipment is used.
3. Free and paid eligibility
3.1 Private Use
You may use DreamCoder free of licence charges for Private Use, subject to this agreement. The Free Business Threshold does not apply to Private Use.
3.2 Free Business Use
You may use DreamCoder free of licence charges for Business Use only while your Group’s total number of Seats used for Business Use is no more than the Free Business Threshold stated in the applicable Licence Schedule.
The threshold determines eligibility for free Business Use. It is not an allowance of free Seats within an otherwise paid deployment.
If the threshold is X, free Business Use permits at most X Seats. Above X Seats, all Seats used for Business Use require an appropriate paid entitlement, unless an Order expressly provides otherwise.
You must not share Seats, use accounts outside your Group or split use between Group entities to avoid these rules, or describe Business Use as Private Use.
3.3 Loss of eligibility
You are responsible for monitoring your eligibility and Seat count.
Before continuing Business Use that no longer qualifies, you must obtain an appropriate paid entitlement or reduce the number of Seats used for Business Use so that it qualifies again.
Loss of eligibility does not itself create a purchase or authorise us to charge you. However, continued use without a valid entitlement is not permitted, and we reserve our rights concerning unauthorised use.
3.4 Paid entitlements
The licensed Seats, permitted entities, licence period, charges, payment dates, renewal arrangements and any additional rights are stated in the Order.
You must pay the agreed charges when due. A paid entitlement covers only the persons, entities and uses identified in the Order. Aggregating Group usage for eligibility does not itself grant Group-wide licence rights.
A paid entitlement bought online renews automatically at the end of each licence period, for the same period, until you stop renewal. Your Order confirmation and every receipt state the renewal period and link to where you can stop renewal at any time. If you stop renewal, the entitlement continues until the end of the period already paid for. Any other Order renews automatically only where it expressly says so, and it must then state the renewal period and how to stop renewal.
4. Licence grant and restrictions
Subject to this agreement, your continuing eligibility and payment of agreed charges, we grant you a non-exclusive, non-transferable and non-sublicensable licence to install and run DreamCoder within your entitlement.
You may host Instances on infrastructure you own or control, including rented servers and virtual machines. Your employees and contractors may use DreamCoder on your behalf, each under their own Seat. You are responsible for their compliance with this agreement.
You may configure and extend DreamCoder through its supported configuration and extension mechanisms and make copies reasonably necessary for authorised installation, operation and backup.
Except as expressly permitted by us, an applicable third-party component licence or a legal right that cannot be excluded, you must not:
- sell, distribute, sublicense, rent or otherwise supply DreamCoder itself to third parties, including as a hosted service;
- copy or modify DreamCoder beyond the permissions granted in this agreement;
- reverse engineer, decompile or disassemble the compiled DreamCoder distribution to obtain its source code;
- bypass or interfere with licensing, entitlement or access-control mechanisms, or remove proprietary notices; or
- use DreamCoder unlawfully, infringe another person’s rights, or access systems or information without authorisation.
These restrictions do not prohibit necessary backups, qualifying decompilation for interoperability, or observing, studying or testing software where applicable law prevents those rights from being excluded.
You may share or commercialise your own work created using DreamCoder, subject to clause 7 and the applicable Business Use requirements. This does not permit you to supply DreamCoder itself to clients or other third parties.
All rights not expressly granted are reserved.
5. Licence compliance
Business Customers must maintain reasonable administrative records sufficient to establish their Seat count, the Instances used per Seat, and their free-use eligibility or paid entitlement.
On at least 10 business days’ written notice, you must provide information reasonably necessary to verify compliance. We may review relevant deployment and licensing records ourselves or through an independent auditor bound by confidentiality.
We will not require this more than once in any 12-month period unless we have reasonable grounds to suspect non-compliance. Reviews must be conducted during normal business hours and without unreasonable disruption.
This clause does not give us a general right to access your source code, project content or unrelated systems.
6. Responsibility for actions and outputs
6.1 Your supervision and approval
You are responsible for directing and supervising your use of DreamCoder, including the instructions, skills, integrations, permissions and execution settings you provide or enable, and for reviewing, approving and verifying the actions it undertakes.
You must review and approve proposed actions before execution, unless you deliberately enable execution without individual approval.
You must review and verify resulting changes and outputs before relying on them, publishing them or deploying them to production, including checking their accuracy, security and suitability for your intended use.
6.2 Automatic and unattended operation
Where you enable automatic or unattended operation, you remain responsible for that decision, for configuring appropriate permissions and safeguards, and for monitoring and verifying the system’s activity.
Choosing to allow actions without individual approval does not transfer these responsibilities to us.
You must not assume that an action or output is safe, correct or appropriate merely because DreamCoder proposes or performs it. An agent’s description of an action or assessment of its safety is not independent verification.
6.3 Instructions and external materials
These responsibilities apply whether an action originates from your own instructions, AI-generated instructions, or third-party skills, content or integrations.
External materials may contain errors, malicious code or instructions that influence an agent’s behaviour in ways you did not intend. An agent may also misunderstand instructions or take unsuitable actions without any malicious material being involved.
Unless we expressly state otherwise, we do not audit, approve or warrant the safety or suitability of third-party skills, scripts, plugins or other external materials. The ability to use them with DreamCoder does not, by itself, mean that we have reviewed or endorsed them.
6.4 Access, backups and precautions
Depending on the features and access you enable, DreamCoder may execute commands, install software, modify or delete files, access connected systems, transmit information and incur third-party charges.
You are responsible for configuring access appropriate to the task, protecting credentials and API keys, maintaining recoverable backups, and taking reasonable precautions against unintended changes, disclosure of information and charges.
Potentially harmful operations should be tested in an appropriately isolated environment before being allowed to affect important systems or data. Natural-language instructions to an agent are not a substitute for technical access restrictions.
DreamCoder is not supplied as a safety-critical control system. You must not rely on it to perform a safety function where failure could directly cause death, personal injury or serious environmental harm.
6.5 Preserved obligations
Nothing in this clause expands the permissions you grant, removes our own obligations under this agreement, or excuses a failure to implement an access restriction or approval requirement that we expressly describe as applying and that you have enabled.
Any liability we retain is subject to clause 10. Nothing in this clause excludes liability preserved under clause 10.1 or restricts your mandatory consumer rights.
7. Intellectual property, content and outputs
DreamCoder and its associated intellectual property remain owned by us and our licensors. This agreement grants permission to use DreamCoder; it does not transfer ownership.
You retain any rights you have in the content you provide to DreamCoder. We do not claim ownership of your projects or generated outputs merely because you use DreamCoder.
You are responsible for checking applicable third-party rights and licence conditions before using or distributing outputs. We do not promise that outputs are unique, eligible for intellectual property protection or free from third-party rights.
This agreement does not authorise redistribution of our proprietary code or assets merely because they are incorporated into an output.
If you provide content to us for support, you grant us permission to use it as reasonably necessary to address that request. You must have authority to provide it.
We may use suggestions or feedback you voluntarily provide to improve our products without payment or attribution. This does not grant us rights over project content merely submitted for support.
Third-party and open-source components are governed by their accompanying licences. Those licences prevail for the relevant components where they conflict with this EULA.
8. Third-party services and privacy
DreamCoder may connect to services you configure, including AI providers and integrations. These connections may transmit prompts, code, files or other information needed for the functions you enable.
Services obtained through your own third-party account are governed by your agreement with that provider. You are responsible for reviewing its terms and privacy information, obtaining necessary permissions to transmit information, and paying charges properly incurred under that agreement.
We do not control independent providers’ services, pricing or changes. We do not undertake to maintain compatibility with every provider or integration unless expressly agreed in an Order.
These provisions do not remove commitments we expressly make concerning services or components supplied by us as part of DreamCoder.
Unless an Order states otherwise, you are responsible for hosting your installation. We do not provide a hosting or backup service.
Our processing of personal data is described in our Privacy Notice at www.dreamcoder.ai/privacy-policy. Acceptance of this EULA does not itself constitute consent to marketing, optional tracking or other processing requiring separate consent.
Where we undertake processing of personal data on your behalf, any required data processing agreement must be put in place for that processing.
Nothing in this clause excludes responsibility for our own acts or omissions where we remain liable under clause 10.
9. Support, updates and warranties
9.1 Support and development
Except as expressly stated in an Order or required by applicable law, your licence does not include support, maintenance, updates, upgrades, continuing compatibility or a service-level commitment.
We may decide whether to develop or release future versions, support additional environments or continue offering particular integrations. A licence to an existing version does not include a right to future versions.
A perpetual licence permits use of the licensed version without a fixed expiry date, subject to termination under this agreement. It does not include indefinite support or every future version.
Any activation or periodic licence-verification requirements, including material consequences of failed verification or expiry, must be identified in the Licence Schedule or Order before you accept them.
9.2 Software and AI limitations
We do not promise uninterrupted or error-free operation, that every defect will be corrected, or that DreamCoder or its outputs will achieve a particular result.
Reviews, tests, explanations and assessments produced by DreamCoder are not exhaustive. A failure to identify an issue does not establish that the issue is absent. Outputs are not a substitute for appropriate independent review, testing or audit.
Beta, preview and experimental features may be incomplete and may change or be discontinued, subject to express commitments and mandatory applicable law.
9.3 Business warranties
For Business Customers, except for express warranties in an Order and rights that cannot lawfully be excluded, DreamCoder is supplied “as is”.
Conditions, warranties and other terms implied by statute or common law concerning satisfactory quality, fitness for purpose or non-infringement are excluded to the extent that their exclusion is lawful.
9.4 Consumer rights
The business warranty exclusions do not apply to Consumers.
Nothing in this agreement removes applicable statutory guarantees or remedies. Where consumer law requires digital content to meet standards concerning quality, fitness for purpose or conformity with its description, those requirements continue to apply.
10. Liability
10.1 Liability not excluded
Nothing in this agreement excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited.
Nothing restricts mandatory rights or remedies under applicable consumer or data protection law.
10.2 Consumers
For Consumers, we are responsible for loss or damage that is a reasonably foreseeable result of our breach of this agreement or failure to exercise reasonable care and skill.
Loss is reasonably foreseeable where it is an obvious consequence of the breach or both parties knew, when the agreement was made, that it might occur.
Where DreamCoder damages your device or other digital content because we failed to exercise reasonable care and skill, we will repair the damage or provide appropriate compensation as required by applicable law.
These provisions do not reduce any wider mandatory rights or remedies.
The business exclusions and monetary limits below do not apply to Consumers.
10.3 Business losses excluded
Subject to clause 10.1, we will not be liable to Business Customers for:
(a) indirect or consequential loss; or
(b) loss of profits, revenue, contracts, business opportunities, anticipated savings or goodwill, or loss or corruption of data, including restoration costs, whether those losses are direct or indirect.
10.4 Free business licences
Subject to clause 10.1, we exclude liability arising out of or in connection with DreamCoder supplied to a Business Customer under a free licence.
This exclusion does not apply to liability arising from support or other services separately purchased under an Order. Such liability is subject to clause 10.5.
10.5 Paid business licences and services
Subject to clause 10.1 and unless an Order expressly states otherwise:
Subscriptions, time-limited licences and separately purchased services. Our total aggregate liability arising out of or in connection with the affected Order will not exceed the licence and service fees actually paid by you to us under that Order during the 12 months immediately preceding the first event giving rise to the relevant claims.
Perpetual licences purchased for a one-off fee. Our total aggregate liability arising out of or in connection with the affected Order will not exceed the one-off licence fees actually paid under that Order, plus associated support and maintenance fees actually paid during the 12 months immediately preceding the first event giving rise to the relevant claims.
There is no fixed minimum liability allowance in addition to these amounts.
10.6 Application of the exclusions and limits
The business exclusions and limits apply whether liability arises in contract, tort, including negligence, misrepresentation, breach of statutory duty or otherwise.
The applicable cap is an aggregate limit, not a separate allowance for each claim. Multiple claims or different legal grounds do not multiply it.
The protections in this clause extend to our licensors, directors, employees and contractors acting in connection with DreamCoder. Applicable limits are shared collectively, and there may be no double recovery.
The limits do not reduce a repayment expressly due under this agreement.
11. Business customer indemnity
This clause applies only to Business Customers.
You must indemnify us against third-party claims, damages and reasonable legal costs arising from your unlawful use of DreamCoder, your breach of the restrictions in clause 4, or infringement of third-party rights by content you provide.
This indemnity does not apply to the extent a claim results from our own breach of this agreement, negligence or wilful misconduct.
We must notify you reasonably promptly, allow you to control the defence using suitably qualified advisers, and provide reasonable cooperation at your expense.
You must not settle a claim in a way that imposes an admission, payment or other obligation on us without our written consent, not to be unreasonably withheld.
The limits on our liability in clause 10 do not limit your obligations under this clause or your obligation to pay agreed charges.
12. Duration, suspension and termination
A paid licence lasts for the period stated in its Order, including any renewal under clause 3.4. A free licence continues while you qualify, unless withdrawn or terminated under this agreement.
We may suspend an entitlement to the extent reasonably necessary to address credible evidence of licence misuse, a material security risk or a legal requirement. We will explain the reason unless legally prohibited and will not maintain a suspension longer than reasonably necessary.
We may terminate an affected licence by written notice if you commit a material breach and fail to remedy it within seven days after receiving notice requiring a remedy, or a longer period reasonably necessary for a Consumer to remedy the breach.
We may terminate immediately for a material breach that cannot be remedied, including deliberate licence circumvention.
Free Business Customer licences may be withdrawn on at least 30 days’ written notice.
Free Consumer licences may be withdrawn on at least 90 days’ written notice if we discontinue the relevant free edition generally or withdrawal is necessary for legal or serious security reasons. We may give shorter notice only where reasonably necessary to address a legal requirement or urgent security risk.
You may stop using DreamCoder at any time. Unless an Order or applicable law provides otherwise, a Business Customer is not entitled to a refund merely because it stops using DreamCoder or its licence is terminated for its breach.
On expiry or termination, you must cease use that is no longer covered by a valid entitlement and remove copies you are no longer entitled to retain.
You should export or otherwise preserve your content before expiry or termination. Unless an Order or mandatory law provides otherwise, we are not required to provide continued software access or an export service afterwards.
Expiry or termination does not require deletion of your own projects or outputs, authorise us to delete them, or affect accrued rights and liabilities.
Nothing in this clause removes rights to terminate or obtain remedies that applicable law gives you. Clauses concerning ownership, liability, indemnities and disputes continue where relevant.
13. Changes to terms and eligibility
We may offer future releases, new licences, renewals and optional upgrades under different terms, eligibility rules or prices.
The EULA and Licence Schedule accepted for your existing entitlement continue to apply unless you agree to a change or that entitlement ends under this agreement.
Publishing revised terms or a revised pricing page does not retrospectively change your existing entitlement, make previously authorised use chargeable, or constitute your acceptance of new terms.
Updates already included in your entitlement remain governed by the accepted agreement unless you expressly agree otherwise.
This clause does not prevent us from exercising the withdrawal or termination rights expressly set out in clause 12.
14. General, governing law and contact
14.1 Governing law and courts
This agreement and non-contractual obligations arising from it are governed by the law of England and Wales.
Business Customers submit to the exclusive jurisdiction of the courts of England and Wales. Either party may nevertheless seek interim protective relief from another court with competent jurisdiction.
For Consumers, this choice of law does not remove mandatory protections under the law that would otherwise apply, including applicable protections in the country where you normally live.
Consumers may bring proceedings in any court available to them under mandatory applicable law. We will bring proceedings against a Consumer only in the courts of the country or part of the United Kingdom in which that Consumer normally lives.
14.2 General provisions
We may transfer this agreement as part of a reorganisation or transfer of the relevant business, provided this does not reduce a Consumer’s contractual or mandatory rights. We will notify affected Consumers.
You may not transfer this agreement without our written consent, except where applicable law gives you a right to do so that cannot be excluded.
For Business Customers, purchasing terms you issue do not apply unless we expressly accept them in writing.
If a provision is unenforceable, the remaining provisions continue where the agreement can operate without it. A delay in enforcing a right does not waive it.
Our licensors and personnel may enforce the protections given to them under clause 10. Otherwise, this agreement does not grant enforcement rights to third parties. We and you may amend or end it without their consent.
Written notices under this agreement may be sent by email. You must keep any contact details provided for your entitlement reasonably up to date.
